We are looking for a Corporate Governance Assistant. This role supports the corporate governance functions from Board support and administration, corporate records management, governance research and drafting support. The role requires strict privacy and confidentiality to support the Board of Directors and may require work outside regular hours during Board cycles and other Board commitments.
Major Responsibilities:
  • Ensures effective Board administration
    • Draft meeting Agendas for ENMAX Board and Board Committees, prepare and distribute meeting packages prior to meetings.
    • Attend Board meetings and record minutes, produce and distribute minutes.
    • Prepare first drafts of Board reports/presentations, where appropriate.
    • Perform all duties high level of confidentiality and discretion.
    • Support Shareholder Relations with ENMAX Corporation’s shareholder meetings and document preparation.
    • Provide corporate governance support to entities within the ENMAX group of companies (including US subsidiaries), as appropriate.
    • Co-ordinate the Versant Power Annual Shareholder Meeting and document preparation.
    • Compile and submit information to payroll in connection with the payment of quarterly director’s fees and retainers for the members of the Board of Directors.
    • Administer, develop, and maintain the Board’s online portal.
  • Provide corporate records management services
    • Maintain Corporate records and prepare associated filings as well as complete record research, ongoing maintenance of minute books for the ENMAX group of companies.
    • Maintain historical governance information, copies of meeting materials and minutes, maintain web-based electronic database of board and committee information.
    • Act as custodian of the corporate seals for the ENMAX group of companies.
    • Assist with governance research and drafting / reviewing governance disclosures and other public disclosures handled by the Corporate Governance team.
    • Draft Board resolutions, circulate for review, and collect sign-off.
  • Work collaboratively across various areas of the ENMAX enterprise (i.e.: with the legal team, treasury, tax, and shareholder relations)
  • Responds to general and specific inquiries from business units.
Education Required:
  • Legal Assistant diploma or alternative combination of education/training and experience may be considered.
Qualifications & Experience:
  • Minimum three years of legal assistant, corporate paralegal, or corporate secretary office experience
  • Experience in carrying out corporate governance practices and processes
  • Experience in corporate records management
  • Knowledge and experience working with Board Portals and Microsoft Office suite

Location: This role will be part of our hybrid (home and office) work force with office workspace located at ENMAX Place (141 - 50th Avenue SE, Calgary, AB). You will work from home on Mondays and Fridays and in the office on Tuesday, Wednesday, and Thursday.
